CONSTITUTION & BY-LAWS

ARTICLE I: NAME

SECTION 1.1:

The name of this organization shall be the Utica High Athletic Booster.

ARTICLE II: OBJECTIVES

SECTION 1.1:

To provide students and families of Utica High with programs and/or information that may be of interest and beneficial to the development of athletic activities.

SECTION 1.2:

To establish and maintain the opportunity for a friendly and cooperative liaison between parents and/or the school in the areas of athletics.

SECTION 1.3:

To lend all possible support, both moral and financial, to the athletic programs at the high school

SECTION 1.4:

To provide assistance and/or financial aid by means of fundraising projects that directly benefit the students of the athletic department. This assistance is subject to approval of a majority of the members present at a regular meeting.

SECTION 1.5:

To consider financial assistance for athletic programs only when it is not provided by the school.

SECTION 1.6:

This is a non-profit organization. If the organization is dissolved for any reason, that all real and personal property will revert to Utica High School. Any assets to be used for the benefit of the athletic programs. (Amended 1-9-1998.)

ARTICLE III: BASIC POLICIES

SECTION 1.1:

This organization shall be non-commercial, nonsectarian, and non-partisan. It shall not endorse a commercial enterprise. The name of this organization or the name of any members in their official capacities shall no be used in connection with a commercial concern or with any other purpose other than the regular work of raising monies for the organization. The use of business organizations name in conjunction with this organization will be strictly for FUNDRAISING PURPOSES ONLY, whereas, the business organization donates an item, shares expenses, or contributes monies to a particular fundraiser and the Utica High School Booster Club is the recipent of all monies received. SECTION 1.2:

This organization shall seek neither to direct the administrative activities of the school and/or the athletic department, nor to control its policies.

ARTICLE IV: MEMBERSHIP

SECTION 1.1:

An annual enrollment of members shall be conducted during the month of September. Additional members shall be accepted at any time.

SECTION 1.2:

No member shall be subject to any assessment for obligations incurred by this club, it being intended that all expenditures made by the club shall be financed by voluntary advance donation, or subscriptions, and monies obtained through approved fundraising activities.

SECTION 1.3:

The sole liaison between the president or his/her appointed representative of this organization and the athletic department is the athletic director or his/her appointed representative.

SECTION 1.4:

Membership shall be informal and available to all residents of the Utica Community School community.

SECTION 1.5:

The principal, assistant principals, athletic director, and all coaches are ex-officio members of the Utica Athletic Boosters.

ARTICLE V: DUES

SECTION 1.1:

There shall be no dues required for membership in the Utica High Athletic Boosters.

ARTICLE VI: OFFICERS AND THEIR ELECTION

SECTION 1.1:

The officers of this oragnization shall be a president, vice-president, treasurer, and secretary.

SECTION 1.2:

Officers shall be elected by ballot annually in the month of April. They shall be nominated one meeting prior to election.

SECTION 1.3:

Newly elected officers will co-preside with the outgoing officers at the May meeting. They will assume their official duties on June 1. (Amended 10-2-2000)

SECTION 1.4:

A person shall not be eligible to serve more than three consecutive terms in the same office. (Amended 4-15-2002)

SECTION 1.5:

A vacancy occuring in any office shall be filled for the unexpired term by a person elected by a majority vote of the remaining members of the executive committee (See Article IX), notice of such election having been given. In any case a vacancy occurs in the office of the president, the vice-president shall assume the duties for the unexpired term. Any member is eligible to hold office.

ARTICLE VII: DUTIES OF THE OFFICERS

SECTION 1.1:

The president shall preside at all meetings of the organization and the executive committee. He or she shall call all special meetings.

SECTION 1.2:

The vice-president shall act as an aid to the president and shall perform the duties of the president in the absence or inability of the president to serve.

SECTION 1.3:

The secretary shall keep an accurate record of all meetings of the organization, and of the executive committee; conduct the correspondence delegated to him or her by the present officers.

SECTION 1.4:

The treasurer shall receive all monies of the organization, shall keep an accurate record of the receipts and expenditures; and shall pay out funds in accordance with established banking procedures. Petty cash not exceeding $100 may be maintained for concession stand operation. The treasurer shall present a financial statement at every meeting of the organization and at other times when requested by the executive committee and shall make a full report at the annual meeting. The treasurer's accounts shall be examined annually by a treasurer's committee, who satisfied that the treasurer's report is correct, shall sign a statement of that fact at the end of the report.

SECTION 1.5:

All officers shall deliver to their successors all official material within ten days following the meeting at which the successors are elected.

SECTION 1.6:

All officers of this organization shall be responsible to the executive committee and/or the membership in good standing of said organization.

ARTICLE VIII: MEETINGS

SECTION 1.1:

Regular general meetings of this organization shall be determined by the president as to the day, time and number of meetings per month. That being no less than five per school year. A five-day notice shall be given to establish or change a meeting date. Regular general meetings shall be scheduled in the months of August/September, October, November, December, January, February, March, April, and May. (Amended 10-2-2000)

SECTION 1.2:

Special meetings of the membership may be called by the president and/or executive committee five (5) days notice having been given.

SECTION 1.3:

The annual meeting shall be in April.

SECTION 1.4:

A minumum of nine members shall constitute a quorum for the transaction of business in any general meeting of this organization.

ARTICLE IX: EXECUTIVE COMMITTEEE

SECTION 1.1:

The executive committee shall consist of the officers of this organization, the director of athletics of Utica High School, or a representative appointed by him/her, and four (4) members elected by the membership. The members of the committee shall serve until the close of the annual meeting.

SECTION 1.2:

The duties of the executive committee shall be (a) to transact necessary business in the intervals between regular meetings; (b) to create standing committees; and (c) to approve routine bills necessary for the organization to function.

SECTION 1.3:

Meetings of the executive committee shall be called by the president during the school year, the time to be fixed by the committee at the first meeting of the year. Five (5) shall constitue a quorum. Special meetings of the executive committee may be called by the president or a majority of the members of the committee.

SECTION 1.4:In the absence of an elected execuitve committee the duties of said committee will rest with the elected officers of the organization and the director of athletics or his/her appointed representative. In such case four (4) shall constitute a quorum.

ARTICLE X: STANDING AND SPECIAL COMMITTEES

SECTION 1.1:

Standing committees shall be created by the executive committee as may be required to promote the goals and interests of this organization. The chairman of the standing committee shall be appointed by the officers of this organization or their representative. Their term shall be that of the school year. No members shall serve as chairman of the same committee for more than two consecutive years.

SECTION 1.2:

The chairman of all standing committees shall present plans of work to the executive committee and no committee work shall be undertaken without the approval of the executive committee.

SECTION 1.3:

A special committee is created and appointed for a specific purpose, it automatically goes out of existence when its work is done and its final report is received. The power to form special committees and appoint their members rests with the execuitve committee.

SECTION 1.4:

An election committee is to be formed or appointed at the regularly scheduled membership meeting in February or an executive meeting prior to said meeting. The purpose of this committee being to seek out and acquire for election to offices of said organization in the following school year.

SECTION 1.5:

A special treasurer's committee of three (3) persons is to be formed or appointed at the regularly scheduled membership meeting in February or at the executive committee prior to said meeting. The purpose of this committee is to review the treasurer's annual report prior to the annual meeting and sign statements to that effect at the end of the report.

SECTION 1.6:

Each standing committee and special committee shall include at least one member of the execuitve committee.

ARTICLE XI: AMENDMENTS

SECTION 1.1:

These by-laws may be amended at any regular meeting of the organization, by a two-thirds vote of the members present and voting, provided notice of the proposed amendments shall have been submitted at the meeting prior to the voting on such proposed amendments.

Changed to allow use of commercial business names in connection with raising monies for the UHS Booster Club organization.

ARTICLE II:

SECTION 1.3a:

"Utica Athletic Boosters assumes ownership/rights of any ticket(s) not sold at time of event(s), specifically, but not limited to, the $10,000 Raffle. In the event Utica Athletic Boosters possess any ticket(s) found in the final 10 lottery drawing, Utica Athletic Boosters will agree with the majority in terms of splitting prize moneys. In the event Utica Athletic Boosters are the majority in the final 10, Utica Athletic Boosters will split moneys evenly/fairly. Thus all moneys accrued, from said process, are deposited into Utica Athletic Boosters account and made available as outlined in By-Laws, Article II, Section 1.3."
