At Least 3 Board Members

The board consists in the best composition of at least 3 board members. There are three permanent board positions. These are:

• Chairman

• Treasurer

• Secretary

It is better to expand the board with 2 General board members or they can be given a different name depending on the organization, for example board member Volunteers. This board member is then responsible for the volunteer policy in the organization.

Composing The Board

When composing the board, it is useful to conduct job interviews and not only include family members. A board consisting of only family members is not seen as a serious organization and/or as an independent board.

Division Of Board Tasks

It is very important that the board tasks are well distributed among the board members. Just like for employees or volunteers, there must also be a good job description for board members, so that every board member knows what his/her duties are and what is expected of him/her. Make sure there are enough board members. The number of board members depends on the size of the organization and the number of tasks that the board has to perform. Make sure that the registration of the board members with the Chamber of Commerce is up to date. Also make sure that the articles of association (Notariele akte) state how long a board member can sit. The usual standard is 2 times 3 years on the board.

Reward

The board members do not receive a salary like an employee, but expense allowance and attendance allowance. Attendance pay is a fee that board members receive for the performance of their duties. The expense allowance is for the costs they incur for performing their function, such as travel costs and postage. This is for 'onbezoldigd' board. The 'bezoldigd' board is different. 

'Bezoldigd' Board

The board members of a 'bezoldigd' board can do projects and earn money with them for the organization where they are board member. It must be stated somewhere where donors can find it how much and with which projects the 'bezoldigd' member earned money.
