계약서

본 기밀유지협약 (이하 “협약”이라 칭함) 은 일본 법령에 따라 적법하게 설립되어 유효하게 존속하는 법인인 I-ne Co., Ltd (이하 “I-ne”라 칭함) 과 ●●●● 법령에 따라 적법하게 설립되어 유효하게 존속하는 법인인 ●●●● (이하 “회사”라 칭함) 사이에 체결되었으며, I-ne와 회사 (이후 개별적으로 지칭할 때에는 “당사자”, 또는 집합적으로 지칭될 때에는 “당사자들”이라 칭함) 간에 상호 공개되는 기밀 정보 (본 협약의 제 1조에서 정의) 의 취급에 대해 다루고 있다.

This Non-Disclosure Agreement (hereinafter, this “Agreement”) is made and entered into by and between I-ne Co., Ltd., a corporation duly incorporated and validly existing under the laws of Japan (hereinafter referred to as “I-ne”) and ●●●●, a corporation duly incorporated and validly existing under the laws of ●●●● (●●,[礒谷　皆実1] hereinafter referred to as “COMPANY”) as follows concerning the handling of Confidential Information (as defined in Article 1) which is mutually disclosed between I-ne and COMPANY (also referred to herein individually as a “Party” and collectively as “Parties”).

제 1조 목적 및 정의

1. 당사자들은 공개되는 정보를 보호하고, I-ne가 일본 내 오프라인 판매 채널을 통해 ‘회사’의 브랜드 및 제품을 판매하기 위한 협업 프로젝트의 타당성을 검토하기 위한 목적 (이하 “목적”이라 한다) 으로 본 협약을 작성 및 실행한다.

2. 본 문서에 사용된 용어들은 다음과 같이 정의된다.

(1) “공개 당사자”는 본 협약에 따라 기밀 정보를 공개하는 주체를 의미한다.

(2) “수령자”는 본 협약에 따라 공개된 기밀 정보를 수령/열람하는 주체를 의미한다.

(3) “기밀 정보”란 해당 문서에서 규정하고 있는 목적을 달성하기 위해 공개 당사자가 수령자에게 공개하는 모든 종류의 정보를 의미한다.

Article 1 Purpose and Definitions, etc.

1. The Parties execute this Agreement for protecting the information which is disclosed, for the purpose of examining the feasibility of a collaboration between the Parties in which I-ne sells the COMPANY’s brand through offline sales channels in Japan (hereinafter referred to as the “Purpose”).

2. The following terms as used herein shall have the meanings defined below.

(1) “Disclosing Party” means the Party disclosing Confidential Information hereunder.

(2) “Receiving Party” means the Party to whom Confidential Information is disclosed hereunder.

(3) “Confidential Information” means all information which the Disclosing Party discloses to the Receiving Party in connection with the Purpose:
